Mô tả công việc

Maintaining the legal framework, coordinating with the other departments to ensure the Company’s operations and business comply with the law;
Advising on legal matters relating to corporate, M&A, real estate, organisation, management and business operations of the Company to ensure the legitimate rights and interests of the Company;
Drafting and/or reviewing the contractual documents for the subsidiaries, associates and other divisions/departments of the Company for legal compliance and commercial implications;
Develop and recommend the Director/HOD/BOM to approve the compliance monitoring tools & system for the group, including but not limited to (i) corporate-wide internal processes (ii) the inspection and control of compliance/audit plans and programs towards departments/ member firms;
Coordinate with other departments to build, consolidate and propose(i) a system of professional processes and regulations that are exclusively applicable to relevant departments, (ii) compliance inspection and monitoring plan and program towards departments and member firms accordingly;
Periodically evaluate the effectiveness of internal processes applied to the whole group and ensure the professional processes and regulations to be effectively applied to the department, thus enhance the smooth coordination and operational efficiency;
Disseminate, guide and advise departments and staffs on the implementation of the above internal processes and regulations through training, including appropriate training for new employees as well as ongoing training for all employees;
Organize compliance checks, assess compliance and risk levels and prepare reports to assess compliance;
Receive information on compliance violations from professional divisions/ member businesses to coordinate with the departments/ member businesses to assess risks and have timely solutions;
Conduct the periodical review of the compliance policies and procedures as required, prepare the periodical written report, and report any material compliance matters to the Director/HOD/BOM;
Identify potential conflicts of interest creating risk factors for the business and its clients and ability to effectively advise the Director/HOD/BOM regarding effectively addressing such potential conflicts; and
Daily support the Director/HOD to identify compliance risk in daily business operation and propose solutions.
Engage and manage external legal resources where appropriate;
Represent the Company in dispute resettlement and court procedures;
Update new legal regulations and the impact of the new regulations on group operations;
Disseminate and guide departments/ member businesses on the implementation of new legal regulations and promote a strong risk management and compliance culture;
Build team via supervising and improving staff capacity with training and coaching;
Actively cooperate, cultivate knowledge, exchange experiences and share information with colleagues in the same department, contribute to forming a culture of connection, sharing and openness in the department as well as a culture of connect, share and open up across the corporation; and
Perform other duties as directed by Director/HOD/BOM.
