JOB DESCRIPTION - LEGAL MANAGER
• Reports to Director of Legal and Chairman
• Ensure that Group policies are in compliance with the laws of Vietnam
• Manage all licensing requirements / matters for the set-up of new legal entities and branches of the Group
• Provide legal advice to various departments on school operations, finance, tax, HR, construction, commercial contracts, litigation, investment, land, media, intellectual property etc for Management’s decision
• Advise Management and related departments on negotiations with developers, business partners, authorities to acquire land, business start-ups or for Mergers and Acquisitions
• Draft / review and participate in the negotiation of commercial contracts / agreements and ensure documents comply with Company regulations and prevailing laws of Vietnam to protect the Group
• Oversee the collection of legal documents / research for proposed projects and the advice on appropriate structure, legal risks or any other legal issues related to the proposed project under the regulations of Vietnam.
• Manage the process of obtaining approvals for projects including in-principle approvals, Investment Certificate and work with Management and related departments for the application of approvals for projects
• Oversee the process to obtain licenses for schools / colleges in consultation with Operations Department
• Ensure statutory / legal compliance and other legal matters for school / college / business operations in consultation with Operation Department
• Draft, negotiate and review terms and conditions for agreements for land lease / transfer, project transfer for the best interest of the Group
• Conduct training sessions for Investment Team on investment and land legal related information
• Handle LURCs, Pink-Book application and issuance / renewal / registration of Trademark, logos and other related IP
• Liaise with local Authorities and Government Bodies for the clearance and issuance of LURC, Pink-Books and issues related to projects, approvals and licenses etc
• Oversee the process to obtain land incentives for projects and follow-up with the authorities for their advice
• Maintain good relationship with relevant authorities to support the start-up of new companies / projects etc
• Research and analyze current / amended / introduction of new legal regulations and advice Management for the implementation of best legal practices for the Group
• Provide advice to Management and HR on Labour regulations that may impact (both positive and negative) on the Company’s HR matters and advice HR on employment regulations
• Oversee and handle legal matters related to labor issues of termination, compensation and compliance
• Attend court for legal proceedings for labour dispute settlements

COMPANY SECRETARY
• Provide guidance to subordinates and supervise preparation of meetings for Board of Management, Directors and General Meeting of Shareholders upon request of the Chairman or authorized persons.
• Acts as secretary for the above meetings and oversees the preparation / review of meeting minutes and resolutions of these meetings.
• Provide guidance and oversees the setup / maintenance of a depository for all legal documents, licenses, incorporation documents, land / title deeds and other corporate instruments of the Group.
• Update registration, appointments, replacements to the Board of Management, Directors and other legal titles etc
• Manage company seals
• Mentor and provide guidance to the legal team

OTHERS
• Travel is required to ensure legal compliance in all matters for the company
• Undertake other tasks as and when assigned by Immediate Supervisor and / or Management.

Yêu cầu công việc

• Years of experience: at least 07 years in legal practicing experience. Deep experience in In-house counsel is are advantage and preferable
• Have experiences in Real estate is an advantage
• Having university graduation with LAW major and owed the lawyer practicing certificate;
• Good computer skills using all major office applications;
• Excellent in spoken and written English and Vietnamese;
• Working in hard pressure, challenging;
• Creative, management skill and self-driven;
• Mature, diligent, can work well as a team member as well as independently
• Flexibility to adapt with business requirements and changing laws and regulations;
