PURPOSE AND SCOPE

• To check, review or draft the contract.

• To prepare period report of business activities under the laws.

• To update on newly legal documents (policies of tax, labor, trading...) that related company's activities.

• To prepare documents for obtaining licenses (Investment certificate, Business Licenses and Sub-licenses...).

• To prepare the administrative documents and translate relative documents into Vietnamese/ English (if required).

RESPONSIBILITY

• Review, draft and negotiate account agreements, consulting agreements, special licensing, non-disclosure agreements, terms and amendments for customers.

• Review contracts, proposed revisions, and contract-related documents from other parties and recommend appropriate next steps.

• Oversee the company's contract management system, including coordinating intake, reporting, compliance, amendments, etc.

• Research legal issues applicable to contract provisions.

• Handle all works like preparation of agreements, legal letters and documents for ensuring legal safety to an organization and have to handle lawsuits for the company.

AUTHORITY

• Approve key personal decisions.

• Evaluate performance and propose performance-based compensation for direct staffs (if any).

• Recruit and develop the members of team, keep them motivated and coordinates their efforts (if any).

• Implement modification within own authority which relate to all kinds of legal.

Yêu cầu công việc

• A Bachelor’s law degree, however Master’s is highly preferred.

• 3 years of experience reviewing, drafting, and negotiating contracts, legal.

• Work experience in corporate law practice is an advantage.

• Familiar with the Vietnam business and regulatory environment.

• Contracts management experience, including ability to draft, review, summarize and organize a variety of agreements.

• Ability to facilitate meetings including preparation of agendas, presentations, meeting minutes, action items, and other meeting documentation.

• High attention to detail and ability to work in a fast-paced environment.

• Ability to explain contract terms to both legal and non-legal individuals.

• Proficient in MS Office Suite (Word, Excel, Outlook, PowerPoint) and Adobe Acrobat.

• Must have the ability to effectively communicate in English, verbally and in writing. Skills will be used to produce quality reports and thorough instructions and directions.
