• Mergers and Acquisitions

- Participate in fundraising and M&A activities i.e. negotiating and drafting term sheet, information memorandum, legal advices, due diligence and drafting definitive transaction agreements

- Prepare and provide legal due diligence report for transactions.

- Work closely with the management, finance and business development teams on project matters.

- Work closely with the business team, relevant departments, law firms and consultants to involve in and manage all M&A transactions from legal perspective including due diligence exercise, legal advice and deal structuring, drafting of transactional documents (term sheet, memorandum, corporation agreement, sales and purchase agreement, joint venture agreement, charter, etc.), establishment of special purpose vehicles and closing and post-closing arrangement.

- Negotiate, review and draft transactional agreements and documents.

• Contracts

- Review all contracts/agreements and other documentation where the Company has committed itself and assess legal implications that need to be brought to the executive management’s attention;

- Prepare, review and modify contractual instruments to assist and support various business activities;

- Negotiate, review and draft documentation for business transactions and prepare and advise on the necessary checklist to be adopted to ensure information is submitted on time.

• Corporate legal

- Register, update and change the licenses and certificates of the Company, the parent/subsidiary companies and the associated company;

- Advising and advising the Board of Directors on legal issues related to the Company’s business activities;

- Drafting and checking various types of contracts, agreements, memorandums of understanding and related legal documents;

- Develop regulations and regulations to ensure strict and effective business and management activities;

- Consult and supervise meetings of the General Meeting of Shareholders, Board of Directors, Members’ Council; prepare documents related to the meeting (minutes, resolutions, decisions, ...);

- Monitor and draft the Charter and amendments and supplements of the Company, parent/subsidiary companies and associated companies from time to time;

- Update legal provisions affecting business activities and make appropriate proposals and recommendations;

- Contact and work with government agencies;

- Participate in court litigation, commercial arbitration (if any)

- Maintain legal documents;

- Perform other legal works as assigned and directed by BOD.

Yêu cầu công việc

• Ability to conduct and manage complex legal projects with various stakeholders in Vietnam and overseas.

• Good drafting skills of various kinds of contracts, including M&A transaction documents, sale and lease contracts for the Company’s development products, corporate governance documents;

• University degree in law from a reputable university.

• At least 5-year experience after lawyer certification; Experience in an international law firm or firm dealing with FDI projects is a must; Long-term working experience in M&A;

• Fluent English in speaking and writing is essential, as is the delivery of well drafted advisory and contracts.
