I was assigned to Team Corporate led by Dr. Nguyen Anh
Tuan, where I worked as a Trainee Associate (equivalent to
Legal Assistant) under a 01-year contract. My primary
responsibility includes, but not limited to, supporting
superiors to compose legal advice, conduct legal research,
liaise with State Authorities, translate Vietnamese documents
into English and vice versa, draft legal updates, and so on.
Here are some projects that I partook in:
● M&A: Assisting the transfer of a multi-million dollar
chemical factory for a world-leading chemical
manufacturer in Binh Duong Province; (post-transaction
phase);
● Labour: Assisting the establishment of a grassroot-level
trade union;
● Intellectual Property: Trademark registration and
supporting a complaint about IP infringement;
● Competition: Assisting many merger filings for global
and local companies in cement, steel, medical device
industries; and
● Others: Conducting legal due diligence; filing
applications for amendment of IRC, ERC; registration of
the new company, representative offices; etc.

I was assigned to the M&A Team led by Special Counsel - Chan Hong. My working experience in Dentons primarily focuses on M&A transactions in various business sectors where I am able to assist foreign investors in all of the transaction phases. Some of the notable cases are:
• Healthcare: Assisting Thomson Medical Group in their transaction to take over FV Hospital - one of the most prestigious private hospitals in Ho Chi Minh City - with value of up to approx. USD 400m, including but not limited to preparing the legal due diligence report, advising on deal structure and transaction documents, and supporting the closing arrangements;
• Life Science: Assisting a foreign investor in Luxembourg in drafting legal due diligence report and transaction documents for a laboratory providing environment and blood testing services in Vietnam.
• Fintech: Assisting a Vietnamese company in payment intermediaries and e-wallet services in performing an internal compliance legal due diligence report;
• Manufacturing: Assisting Foxconn Interconnect Technology Limited in preparing the local legal due diligence for their cross-border transaction to acquire 100% shares of a competitor with value of up to EUR 200m.
• Data privacy: Advising for a world giant in video-on-demand streaming service on their upcoming project in Vietnam.
• Competition: Assisting a listed company in Vietnam in notifying their sale of several solar projects across the country to the VCCA.
