• Cooperate with the project development department to contact authorities and carry out legal procedures for real estate projects of the Company;

• Be responsible for all legal matters, including drafting and reviewing contracts with service providers and employees; advising on numerous regulatory and legal issues; and reviewing training materials and company policies of monthly clients which are enterprises with Japan invested capital in diversified business fields, such as: a well-known enterprise processing export in manufacturing aluminum, FMCG, real estate, garment, advertisement, IT, etc.;
• Advise clients on internal labor issues regarding recruitment, management, and training;
• Advise clients on legal procedures, including drafting the application file, charter, relevant documents and submitting such files to authorities for issuance of license/certificate and other legal documents regarding business operation;
• Advice clients on a broad range of matters related to foreign and local investment, with a focus on Mergers and Acquisitions (due diligence, structuring and preparation of transactional documents) and the establishment of new investment projects and joint ventures. Below are typical transactions:
Assisted a Japanese corporation with the acquisition of shares in a manufacturing plastic joint stock company in Vietnam;
Assisted a Japanese corporation with the acquisition of 100% shares in a resort investment company in Vietnam;
Assisted a Japanese company with the acquisition of capital contribution in a gas trading company in Vietnam;
Assisted a real estate corporation with Japanese invested capital on a contractual joint venture with a Singapore corporation to develop, build, and operate a complex comprising a commercial residential building and serviced apartments in Thanh pho Moi, Binh Duong province.
• Support and arrange to organize seminar for clients with topic: Termination of the labor contract, Notable key terms in drafting a commercial contract;
• Other tasks as assigned by lawyers/partners.
